The proposed purchase would add ZO’s physician-dispensed skincare portfolio to Galderma’s dermatology business, subject to regulatory approval.

Galderma has agreed to acquire US skincare company ZO Skin Health in an all-cash transaction with an enterprise value of $1.5 billion.

Announced on 14 October 2026, the proposed acquisition would bring ZO’s daily skincare regimens alongside Galderma’s existing Alastin portfolio, which focuses on skincare around aesthetic procedures. The agreement covers 100% of ZO Skin Health and remains subject to regulatory approvals and customary closing conditions.

Founded by dermatologist Zein Obagi and based in Irvine, California, ZO Skin Health reported approximately $330 million in net sales in the 12 months to June 2026, according to Galderma. The company supplies products through professional channels, including dermatology practices and medical spas.

The transaction is expected to close in the fourth quarter of 2026 or early 2027. Until completion, the two businesses remain separate.

For aesthetic practitioners, the acquisition raises questions about future distribution, education and how the two skincare ranges will be positioned. Galderma has indicated that it intends to increase investment in ZO after the deal closes, although future commercial outcomes remain uncertain.

The deal reflects the continued strategic importance of professional skincare to medical aesthetics. It does not establish clinical superiority for either brand.
